- Agree money, work and decision-making before incorporation.
- Discuss exits and disagreements while relationships are good.
- Have the final documents reviewed for the actual company.
Do the percentages tell the whole story?
Two founders can agree equal ownership while imagining very different jobs. One may expect to work full time. The other may contribute money and join monthly meetings. Write those expectations down before treating the share split as the whole agreement.
List the initial contributions, future funding expectations and responsibilities. Separate a founder’s investment, salary and reimbursed expenses so the company can record them properly with professional advice.
Who can make which decisions?
Discuss everyday authority and the decisions that need wider agreement. Examples include signing a major customer contract, borrowing, appointing a manager or adding a shareholder. The final arrangements need to fit the company documents and relevant law.
| Decision | Question for the founders |
|---|---|
| Spending | Who approves routine and exceptional commitments? |
| Control | Who can sign and access company accounts? |
| Funding | What happens if more money is needed? |
| Exit | How will an owner’s departure be handled? |
A balanced agreement is easier to discuss before there is an urgent cash need or a disagreement. Use realistic examples from the business plan rather than trying to predict every possible argument.
Plan access and ownership of the work
Record who owns the brand, software, designs and other assets brought into the business. Check rights to work created by founders and contractors with a suitable adviser. A company name on a website does not explain ownership of every asset it uses.
Agree access to bank administration, licensing portals, domains and records. Avoid leaving essential company control solely in one person’s private email account.
Make the legal documents fit the decisions
The Dubai mainland company guidance and the chosen free zone’s requirements explain formation documentation for their routes. A generic agreement downloaded online may not fit the company’s legal form or resolve a particular dispute.
Ask a qualified legal professional to review the proposed agreements, succession and exit arrangements. This article is a discussion checklist, not a contract template.
Kompani Setup can help organise the formation information and authority requirements once the partners have a clear plan. Bring the proposed ownership chart, roles and signing arrangements so incorporation starts from agreed facts.
