- Describe what the holding entity will own and do.
- Separate ownership from the operating business.
- Review tax, banking and ongoing administration with suitable advisers.
What would the extra company achieve?
Start with the ownership problem you want to solve. Perhaps several founders will own more than one operating business, or a group wants a clear entity for holding shares. Write down the intended benefit before choosing a jurisdiction.
An ownership chart helps. Show the individuals, proposed holding entity, operating companies and assets. Add a sentence explaining the purpose of each relationship. If the chart becomes more complicated without a clear benefit, pause and get appropriate advice.
Check the permitted structure with the registry
Registries offer different legal forms and permitted activities. RAK ICC’s official information is one example of a registry to review when considering an international corporate structure. It should not be treated as interchangeable with every mainland or free zone operating company.
Ask what the proposed entity may own, whether it may conduct the intended transactions and which registered-agent, office or reporting arrangements apply. Do not assume that a holding structure is a route to staff visas or unrestricted trading.
Which decisions need professional review?
- Ownership and control of each entity.
- How money and dividends move within the group.
- Tax residence, reporting and cross-border consequences.
- Succession, exits and disputes between owners.
No structure should be described as automatically tax-free or protected from every claim. The outcome depends on the law, facts and implementation. Get legal and tax advice for the actual owners and assets before committing to transfers.
Budget for keeping the structure useful
Include renewals, registered-agent services where relevant, accounting, filings and banking administration. A second company adds work even when it does not have employees or customers.
For banking, prepare an explanation of the ownership chain, funds and intended transactions. The bank may request records for the people and companies involved. Incorporation does not guarantee an account.
Kompani Setup can help organise the formation comparison and the information needed for specialist review. Bring the proposed ownership chart and the reason for the structure. That keeps the conversation focused on whether it solves a real business need.
