- Get a closure checklist for the exact legal form and authority.
- Treat licence cancellation and tax deregistration as separate workstreams.
- Keep final accounts, confirmations and a retrievable archive.
Are you closing, pausing or selling?
Decide that before starting cancellation applications. A sale, temporary pause and permanent closure can lead to different procedures. Write down the intended outcome, outstanding commitments and the people authorised to make the decision.
The UAE Government’s mainland closure guidance explains why the licence and related permits need formal attention. A free zone company should obtain its own registrar’s process rather than copying a mainland checklist.
Which obligations remain open?
- Shareholder decisions, liquidation and creditor steps where required.
- Employee wages, benefits, permits and any applicable visa cancellations.
- Premises, supplier contracts, utilities and subscriptions.
- Banking, receivables, debts and payment access.
- VAT, corporate tax and other registrations or filings.
Give each item an owner and ask which documents depend on another step. Keep enough banking and accounting access to complete the remaining obligations. Closing a bank account too early can make settlements harder.
Does cancelling the licence close the tax registration?
Do not assume it does. The FTA provides a separate corporate tax deregistration service. For closure or liquidation, its checklist includes licence cancellation evidence and financial statements through the relevant cancellation date.
Review the applicable application deadlines, final returns and amounts due with your tax adviser. VAT has its own deregistration conditions and process. A submitted application is also different from an approved deregistration, so track requests for further information.
Build a closure tracker
A useful tracker has five columns: obligation, authority or counterparty, owner, supporting document and confirmed outcome. Store application numbers and official confirmations beside it. This makes a handover easier if an adviser or employee changes during the process.
Get a written scope and itemised quote for professional assistance. Ask whether the engagement includes tax work, employee matters and follow-up responses, instead of treating “licence cancellation” as a description of the entire exit.
Who keeps the records afterwards?
Name the person responsible for the archive and preserve a reliable way to retrieve it. Follow the relevant record-retention requirements. The company’s last trading day is not a reason to erase its accounting history.
